SYNERGY NETWORKING EVENTS
MEMBERSHIP TERMS & CONDITIONS
Effective Date: 1st October 2024
- ABOUT US
Synergy Networking Events (“Synergy”, “we”, “us”, “our”) is a networking organisation operated as a partnership between Linda Cloke, Chris Endersby and Laura Endersby.
Membership is governed by these Terms & Conditions (“Terms”).
- DEFINITIONS
In these Terms:
- Member means the company approved for Membership.
- Membership means access to Synergy networking groups, events and related services.
- Membership Term means the selected initial contract period.
- Renewal Term means each automatic renewal period equal to the Membership Term.
- Group means a specific Synergy networking group within a defined geographic area.
- Pro Membership means a membership that includes category exclusivity within a specific Group.
- Territory means the geographic location of the Member’s approved Group.
- Website means https://synergynetworkingevents.co.uk/ (or any replacement domain).
Membership is company-based and not personal to any individual.
- FORMATION OF CONTRACT
3.1 A Membership request constitutes an offer to join Synergy.
3.2 Membership is only confirmed once accepted in writing by Synergy.
3.3 Synergy reserves absolute discretion to accept or reject any Membership application.
3.4 Membership is valid only for the approved Territory.
- MEMBERSHIP STRUCTURE
Synergy offers the following Membership types:
- Founder Member
- Online Member
- Event Member
- Pro Member
- Patron
Details of benefits are published on the Website and may be updated from time to time.
Synergy may amend benefits with reasonable notice.
- PRO MEMBERSHIP & EXCLUSIVITY
5.1 Pro Membership grants category exclusivity within one specified Group only.
5.2 Exclusivity applies only to the agreed professional category.
5.3 Category definitions and classifications are determined solely by Synergy.
5.4 A Pro Member must ensure a representative attends each monthly meeting of their chosen Group.
5.5 Failure to attend three consecutive meetings may result in loss of exclusivity at Synergy’s discretion.
5.6 Loss of exclusivity due to non-attendance does not entitle the Member to a refund.
Synergy’s decision regarding category allocation and exclusivity is final.
- MEMBER OBLIGATIONS
Members agree to:
- Act professionally and ethically.
- Accurately represent their business.
- Conduct their own due diligence before entering business agreements.
- Not bring Synergy into disrepute.
- Not harass, pressure or intimidate other Members.
- Not misrepresent Synergy or its services.
Synergy may suspend or terminate Membership for conduct that damages the integrity or reputation of the organisation.
- NO GUARANTEES
7.1 Synergy provides networking opportunities only.
7.2 Synergy does not guarantee referrals, revenue, contracts, or business outcomes.
7.3 Synergy is not responsible for commercial arrangements between Members.
7.4 Members participate at their own commercial risk.
- MEMBERSHIP TERM & RENEWAL
8.1 Membership begins on the date of written acceptance.
8.2 Membership continues for the Membership Term.
8.3 Membership automatically renews for successive Renewal Terms unless cancelled with at least 14 days’ written notice prior to renewal.
8.4 Membership Fees for Renewal Terms are payable in advance.
8.5 Synergy may amend Membership Fees on renewal with prior notice.
- FEES & PAYMENT
9.1 A registration fee of £200 may apply (waivable at Synergy’s discretion).
9.2 Membership Fees must be paid in cleared funds within 14 days of acceptance unless otherwise agreed.
9.3 All fees are exclusive of VAT.
9.4 Failure to pay may result in suspension of Membership benefits.
9.5 Continued non-payment may result in termination.
All payments are non-refundable except as required by law.
- RIGHT TO CANCEL
Members purchasing online have a 14-day cooling-off period from the date of acceptance.
If cancelled within this period:
- 50% of fees may be retained to cover administrative onboarding costs.
After the cooling-off period, no refunds are provided unless required by law.
- TERMINATION
Synergy may terminate Membership:
- For non-payment.
- For breach of these Terms.
- For behaviour that damages Synergy’s reputation.
- Where a Member’s conduct undermines the Group structure.
Upon termination:
- Membership rights cease immediately.
- Access to events and platforms will be removed.
- Outstanding fees remain payable.
- INTELLECTUAL PROPERTY
12.1 All intellectual property in Synergy branding, materials, systems and content belongs to Synergy.
12.2 Members may not reproduce or commercially exploit Synergy materials without written consent.
12.3 Members grant Synergy a non-exclusive, royalty-free licence during Membership to use their business name, logo and branding for promotional purposes.
- DATA PROTECTION
Synergy processes personal data in accordance with its Privacy Policy (see below).
Members consent to inclusion in the Membership directory.
- LIMITATION OF LIABILITY
14.1 Nothing in these Terms excludes liability for death, personal injury, fraud or any liability that cannot legally be excluded.
14.2 Subject to clause 14.1, Synergy’s total liability to a Member shall not exceed the Membership Fees paid by that Member in the 12 months preceding the claim.
14.3 Synergy shall not be liable for:
- Loss of profit
- Loss of business
- Loss of anticipated savings
- Indirect or consequential losses
- Disputes between Members
- Commercial outcomes resulting from introductions
- AREA DIRECTORS
Synergy Groups may be operated by appointed Area Directors acting on behalf of Synergy.
Membership remains with Synergy and not with any individual Area Director.
- GENERAL
These Terms constitute the entire agreement between the parties.
No variation is effective unless in writing.
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
